These Terms govern your use of the Platform whether you are browsing, submitting content, creating campaigns, or participating as a Creator or Client. If you do not agree to these Terms, do not use the Platform.

5AM may update or modify the Platform and these Terms at any time. Continued use after changes constitutes acceptance of the updated Terms. We reserve the right to suspend, restrict, or terminate access to the Platform at our discretion, without prior notice.

1. Key Definitions

Client – Any individual, brand, or business that engages 5AM to distribute content, run campaigns, or provide marketing and consulting services.

Creator – Any individual participating in 5AM's creator network to produce, post, or manage content for Clients through the Platform.

Content – Includes all materials created, submitted, or shared on the Platform, including videos, images, text, scripts, captions, audio, graphics, or any other creative media.

Campaign – A coordinated marketing or content effort organized by 5AM for a Client, including tracking, analytics, and reporting.

Ghost Content – Creator content posted on social accounts on behalf of a Client without explicit attribution, unless otherwise specified.

Platform – Refers to all 5AM digital properties, including websites, dashboards, apps, services, tools, and related resources.

2. 5AM Intellectual Property and Content Rights

2.1 Platform Materials

All 5AM-created content, including graphics, images, text, logos, training guides, proprietary methods, software, and campaigns (collectively "5AM Content"), are the intellectual property of 5AM or its licensors.

You may not copy, distribute, reproduce, or use 5AM Content outside the Platform for commercial purposes without our express written permission. Any misuse that harms our business, brand, or intellectual property may result in legal action.

2.2 Proprietary Methods

Our proprietary frameworks, processes, and operational strategies ("5AM Methodologies") are confidential. Unauthorized use, reproduction, or distribution of 5AM Methodologies is strictly prohibited.

3. Acceptable Use of the Platform

By using the Platform, you agree to:

1. Use the Platform only for lawful and authorized purposes.
2. Respect the rights of other users, Creators, and Clients.
3. Not post, transmit, or distribute illegal, abusive, defamatory, obscene, or offensive content.
4. Avoid unauthorized collection of personal data from the Platform or other users.
5. Not post advertising, spam, or promotional content unless approved in writing.
6. Avoid distributing viruses, malware, or code that disrupts Platform operations.
7. Refrain from scraping, AI/LLM training, or extracting data without authorization.
8. Not attempt to bypass, tamper with, or defeat security measures.
9. Not impersonate others or misrepresent your affiliation with 5AM or third parties.
10. Comply with all applicable laws, regulations, and platform terms of service.

We may suspend or terminate accounts, remove content, or restrict Platform access at any time for violations of these Terms or applicable laws.

4. Creator-Specific Terms

These terms apply to individuals who join 5AM's creator network to produce, post, or manage content on behalf of Clients.

4.1 Creator Eligibility and Enrollment

To participate as a Creator, you must:

1. Be at least 18 years old or the age of majority in your jurisdiction.
2. Own and control the social media accounts you will use for campaign distribution.
3. Provide accurate and complete information during registration, including payment and contact details.
4. Maintain active, compliant social accounts in good standing with the respective platforms.
5. Comply with all applicable laws, regulations, and third-party platform terms.

5AM reserves the right to verify eligibility and remove Creators who fail to meet these requirements.
